These Terms of Service ("Terms") govern your access to and use of the services provided by ClubCentric ("ClubCentric," "we," "us," or "our") including our website, mobile applications, and other online products and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.
1. Eligibility
You must be at least 13 years old or the minimum age required in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.
2. Account Registration and Responsibilities
To use certain features of the Services, you may need to register for an account. When you register, you agree to:
- Provide accurate and complete information
- Maintain and update your information
- Keep your login credentials confidential
- Notify us immediately of any unauthorized use of your account
You are solely responsible for all activities that occur under your account.
3. Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:
- Use the Services in any way that violates applicable laws or regulations
- Impersonate any person or entity or falsely state your affiliation
- Access, tamper with, or use non-public areas of the Services or our systems
- Use the Services to transmit viruses, malware, or other harmful code
- Use automated scripts, bots, or data mining tools to scrape or extract data
- Interfere with or disrupt the integrity or performance of the Services
We reserve the right to suspend or terminate your access if you violate these Terms.
4. Intellectual Property Rights
The Services and their entire contents, features, and functionality (including but not limited to all software, design, text, images, audio, video, and the arrangement thereof) are owned by ClubCentric or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
5. User Content and Submissions
You retain ownership of the content you submit to the Services, including club data, documents, event listings, and messages ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your User Content solely to operate and improve the Services.
You represent that you have the necessary rights and permissions to submit User Content and that it does not infringe on any third party's rights.
6. Payment and Billing
Some Services may be offered on a paid basis. Payments are processed by third-party providers such as Stripe. By using paid features, you agree to the applicable pricing and payment terms. Payments are refundable within fourteen (14) days of purchase or before fifty (50) AI usage credits have been consumed on your account, whichever comes first. After this point, payments are non-refundable except as required by law.
ClubCentric may also use Stripe to verify your identity to confirm your access to the platform. This process is handled by Stripe, and ClubCentric does not store any identity documents or sensitive verification data.
7. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Services, you consent to our data practices as described in the Privacy Policy.
8. Third-Party Services
The Services may contain links to or integrations with third-party services such as Google, Microsoft, and Apple. We are not responsible for the content, policies, or practices of any third parties. Your interactions with third-party services are governed by their respective terms and policies.
9. Disclaimers
The Services are provided on an "as-is" and "as-available" basis. We disclaim all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or secure.
10. Limitation of Liability
To the fullest extent permitted by law, ClubCentric shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use of or inability to use the Services
- Any unauthorized access to or use of our servers
- Any bugs, viruses, or harmful code transmitted through the Services
11. Indemnification
You agree to defend, indemnify, and hold harmless ClubCentric, its affiliates, officers, agents, employees, and partners from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:
- Your access to or use of the Services
- Your violation of these Terms
- Your User Content
12. Termination
We may suspend or terminate your account or access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Washington, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in King County, Washington.
14. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Services. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
